1. Service Overview
Machinery Masters Limited ("we," "us," "our," "Company," "Platform," "Service"), a private limited company incorporated on 27 January 2025 with company number 16210616, operates a subscription-based online marketplace (the "Platform") connecting buyers and sellers of used and new industrial machinery in sectors such as food processing, construction, agriculture, and packaging. Sellers, primarily dealers, can choose between an annual subscription or a pay-per-listing model to list inventory and receive leads.
The Platform provides listing, search, enquiry, and discussion features but does not process payments, store inventory, or act as a broker, agent, auctioneer, or intermediary. All listings are user-generated, and no content constitutes an offer or invitation to buy or sell.
2. User Obligations
- Users must provide accurate, complete, and lawful information when using the Platform.
- Users are solely responsible for conducting due diligence, inspections, negotiations, and contractual arrangements independently.
- Users must comply with all applicable laws, including but not limited to the Consumer Rights Act 2015, UK GDPR, and anti-fraud regulations.
- Prohibited Behaviors: Users must not engage in harassment, spamming, posting fraudulent listings, or any illegal or disruptive behavior on the Platform, including in forums or discussions.
3. Platform Disclaimer
Machinery Masters does not verify, endorse, guarantee, or assume liability for:
- The accuracy, legality, or completeness of listings;
- The existence, quality, condition, or availability of listed equipment;
- The reputation, solvency, or credibility of any user.
We implement fraud detection and content moderation protocols but reserve the right to review, flag, or remove listings or forum content at our sole discretion without liability.
Buyers and sellers bear full responsibility for all due diligence and transaction outcomes. Machinery Masters does not facilitate payments or negotiations.
4. Limitation of Liability
To the fullest extent permitted by law, Machinery Masters excludes all liability for:
- Losses, claims, or disputes arising from Platform use, including listings, enquiries, or user interactions;
- Indirect, consequential, or punitive damages, including loss of profit or reputation.
Our total liability shall not exceed the subscription fees paid by the user in the preceding twelve (12) months.
5. Indemnity Clause
Users agree to indemnify and hold Machinery Masters harmless from any claims, damages, or costs arising from their use of the Platform, including breaches of these Terms, intellectual property infringements, fraudulent listings, or illegal activities. This includes, but is not limited to, claims from third parties regarding the accuracy or legality of listings.
6. Intellectual Property
All Platform content, including search tools, forums, and branding (excluding user-generated listings and discussion posts), is owned by Machinery Masters. Users grant us a non-exclusive, royalty-free license to use submitted content (e.g., listings, forum posts) for Platform operations and marketing, subject to our Privacy Policy.
7. Termination
We may suspend or terminate access to the Platform for breach of these Terms, non-payment, or at our discretion, with notice where practicable. Terminated users forfeit access to listings, leads, and forum data.
8. Force Majeure
Machinery Masters shall not be liable for delays or failures in performance due to events beyond its reasonable control, including but not limited to acts of God, war, pandemics, strikes, floods, or cyberattacks.
9. Dispute Resolution
Disputes arising from these Terms shall first be subject to mediation. If unresolved within thirty (30) days, they will be settled by arbitration in London under the rules of the London Court of International Arbitration (LCIA). The arbitrator's decision shall be final and binding.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the English courts, save where EU regulations mandate otherwise for non-UK users.
11. Amendments
We may update these Terms with notice via the Platform. Continued use after updates constitutes acceptance.
12. Severability
If any provision is deemed unenforceable, the remainder shall remain in effect.
